Terms of Service

These Terms of Service ("Terms") govern your access to and use of the Gent marketing website, documentation pages, waitlist forms, and related pages where these Terms are posted or linked (collectively, the "Site"). The Site is operated by Genaptic, Inc. d/b/a Gent, a Delaware corporation ("Genaptic," "Gent," "we," "our," or "us").

These Terms are written for the public marketing site, documentation, and waitlist experience. They do not grant a license to download, install, access, or use any non-public Gent software, CLI, desktop app, developer preview, paid product, API, hosted service, license key, or related product feature. Separate product terms may control for any product or preview access.

1. Acceptance of these Terms

By accessing or using the Site, selecting a checkbox or button indicating acceptance, submitting a waitlist request, sending a waitlist email, or otherwise providing information through the Site, you agree to these Terms.

If you use the Site on behalf of a company, organization, or other entity, you represent that you have authority to bind that entity, and "you" includes that entity. If you do not agree to these Terms, do not use the Site or submit a waitlist request.

2. Eligibility

You must be at least 18 years old, or the age of legal majority in your jurisdiction, to submit a waitlist request or otherwise provide information to us through the Site. The Site is not directed to children under 13, and you may not knowingly submit personal information about a child through the Site.

3. About Gent and preview status

Gent is under development. Any descriptions of Gent features, command names, workflows, documentation, pricing, roadmap items, launch timing, preview availability, or future capabilities are provided for informational purposes only and are not a promise, warranty, commitment, or guarantee.

We may change, delay, limit, suspend, or discontinue any Site content, documentation, preview program, planned feature, pricing plan, or product direction at any time. Joining the waitlist does not guarantee access to any preview, product, license key, download, support, pricing, discount, or other benefit.

4. Developer preview waitlist

The Site may let you request access to a Gent developer preview. When you submit a waitlist request, you may provide information such as your work email, name, company or project, role, primary use case, and any optional message you choose to include.

By submitting a waitlist request, you authorize us to use the information you provide to evaluate your request, contact you about Gent preview access, send Gent product updates, and communicate with you about related Gent offerings, subject to our Privacy Policy and applicable law.

Do not submit source code, repository URLs containing private code, credentials, API keys, access tokens, secrets, unreleased product plans, confidential business information, trade secrets, regulated personal information, health information, payment-card data, government identifiers, or other sensitive information through the waitlist form or waitlist email unless we have signed a separate written agreement authorizing that submission.

Marketing emails from us will identify Genaptic or Gent as the sender, use accurate header and subject information, include a valid physical postal address or legally permitted mailbox where required, and include a reasonable way to opt out of future marketing emails. You may opt out by using unsubscribe instructions included in those emails or by contacting us at legal@genaptic.com. We may continue to send non-marketing administrative messages where permitted by law.

5. Privacy

Our Privacy Policy explains how we collect, use, disclose, retain, protect, and otherwise process personal information, and explains rights and choices that may apply to you. Please review it before submitting information through the Site.

We will not use personal information submitted through the Site for materially broader purposes than those disclosed in our Privacy Policy at the time of collection unless we provide any notice and obtain any consent required by applicable law.

6. Feedback and submissions

You may choose to send us ideas, suggestions, comments, feedback, bug reports, feature requests, or other input about Gent or the Site ("Feedback"). Feedback is voluntary and not confidential unless we separately agree in writing.

You grant Genaptic a worldwide, perpetual, irrevocable, transferable, sublicensable, royalty-free license to use, copy, modify, distribute, display, perform, and otherwise exploit Feedback for any purpose, including improving, developing, marketing, and operating Gent products and services, without compensation or obligation to you.

You retain ownership of content you submit, subject to the rights granted in these Terms. You represent that you have all rights necessary to submit the information you provide and that your submission does not violate any law, contract, intellectual-property right, privacy right, confidentiality duty, or third-party right.

7. Site content and limited license

The Site and its text, graphics, logos, images, icons, documentation, design, code examples, workflows, page layouts, and other content ("Site Content") are owned by Genaptic or its licensors and are protected by copyright, trademark, trade dress, and other laws.

Subject to these Terms, Genaptic grants you a limited, revocable, non-exclusive, non-transferable license to access and view the Site Content for personal, internal business, evaluation, and informational purposes. Documentation snippets and command examples may be copied solely as reasonably necessary to evaluate or use Gent in accordance with applicable Gent product terms.

Except as expressly allowed by these Terms or applicable law, you may not copy, modify, distribute, sell, lease, sublicense, publicly display, publicly perform, scrape, harvest, frame, mirror, or create derivative works from the Site Content without our prior written permission.

8. Trademarks

Gent™, Genaptic™, the Gent logo, and related names, logos, product names, taglines, and trade dress are trademarks or service marks of Genaptic, Inc. Gent and Genaptic are the subjects of pending U.S. trademark applications owned by Genaptic, Inc., including Serial Nos. 99708921 and 99708881. Pending applications do not mean the marks are federally registered, and nothing in these Terms grants you any right to use our marks except as permitted by applicable law or our prior written permission.

Do not use our marks in a way that suggests sponsorship, endorsement, affiliation, or approval by Genaptic.

9. Acceptable use

You may not use the Site to:

  • violate any applicable law or regulation;
  • interfere with, disrupt, overload, or compromise the security or integrity of the Site;
  • attempt to gain unauthorized access to any system, account, data, or network;
  • submit false, misleading, infringing, unlawful, or harmful information;
  • transmit malware, malicious code, or harmful content;
  • harvest email addresses or personal information;
  • impersonate any person or entity or misrepresent your affiliation with any person or entity;
  • use Site Content, Gent marks, or screenshots in a misleading way;
  • remove or obscure proprietary notices;
  • use automated means to access the Site in a manner that imposes an unreasonable burden or circumvents technical controls; or
  • use the Site or Site Content to develop, market, or train a competing product or service in a way that violates these Terms or applicable law.

Reasonable access by general-purpose search engines and ordinary browser use are not prohibited by this section.

10. Third-party links and services

The Site may link to third-party websites, tools, platforms, email clients, hosting providers, documentation tools, or other services that we do not control. We are not responsible for third-party content, products, services, availability, security, or privacy practices. Your use of third-party services is governed by their terms and policies.

11. Product previews, software, and separate agreements

The Site may describe Gent software, a CLI, desktop app, license activation, telemetry options, documentation, preview commands, generated output, third-party model providers, or other product-specific functionality. Those descriptions are informational and do not give you any right to access or use non-public software.

If we invite you to a Gent preview, provide a license key, make a download or hosted service available, or offer a paid product, we may require you to accept separate terms before using it. Those separate terms may address license scope, installation, telemetry, generated output, third-party model providers, confidentiality, support, updates, usage limits, security, payment, taxes, renewals, cancellation, data processing, enterprise obligations, and other product-specific matters.

12. Disclaimers

TO THE FULLEST EXTENT PERMITTED BY LAW, THE SITE AND SITE CONTENT ARE PROVIDED "AS IS" AND "AS AVAILABLE." Genaptic disclaims all warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, title, non-infringement, accuracy, availability, security, and error-free operation.

We do not warrant that the Site will be uninterrupted, secure, current, complete, accurate, or free of errors, malware, or harmful components. We do not warrant that any Gent product, preview, feature, roadmap item, command, pricing plan, documentation page, or integration will be released, remain available, or operate as described.

Some jurisdictions do not allow certain disclaimers, so some of the above may not apply to you. Nothing in these Terms limits rights that cannot be waived under applicable law.

13. Limitation of liability

TO THE FULLEST EXTENT PERMITTED BY LAW, GENAPTIC AND ITS DIRECTORS, OFFICERS, EMPLOYEES, CONTRACTORS, AFFILIATES, LICENSORS, AND SERVICE PROVIDERS WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, or for any loss of profits, revenue, goodwill, data, business opportunity, or business interruption, arising out of or related to the Site or these Terms.

To the fullest extent permitted by law, Genaptic's total liability for any claim arising out of or related to the Site or these Terms will not exceed one hundred U.S. dollars ($100). Nothing in these Terms limits liability that cannot be limited under applicable law.

14. Indemnification

To the fullest extent permitted by law, you will defend, indemnify, and hold harmless Genaptic and its directors, officers, employees, contractors, affiliates, licensors, and service providers from and against any claims, damages, liabilities, losses, costs, and expenses, including reasonable attorneys' fees, arising out of or related to your violation of these Terms, your misuse of the Site, your submissions or Feedback, or your violation of any law or third-party right.

15. Changes to the Site and these Terms

We may update the Site and these Terms from time to time. When we update these Terms, we will revise the "Last Updated" date above. For material changes, we will take reasonable steps to provide notice, such as by posting a notice on the Site or emailing users who have provided contact information, where appropriate.

Changes apply prospectively unless otherwise stated and permitted by law. We will not use a Terms update to retroactively reduce privacy commitments for information already collected unless we provide any notice and obtain any consent required by applicable law.

Your continued use of the Site after updated Terms become effective means you accept the updated Terms. If you do not agree to updated Terms, stop using the Site.

16. Suspension and termination

We may suspend, restrict, or terminate your access to the Site at any time if we believe you have violated these Terms, created risk for Genaptic or others, or used the Site unlawfully or abusively. Sections that by their nature should survive termination will survive, including sections on intellectual property, Feedback, disclaimers, limitations of liability, indemnification, governing law, notices, and miscellaneous terms.

17. Governing law and venue

These Terms are governed by the laws of the State of Delaware, without regard to conflict-of-law rules, except to the extent applicable law requires otherwise.

Subject to any mandatory rights you may have under applicable law, any dispute arising out of or related to these Terms or the Site will be brought in the state or federal courts located in Delaware, and you and Genaptic consent to the personal jurisdiction and venue of those courts.

Nothing in this section deprives consumers of protections that cannot be waived under the laws of their place of residence.

18. International access; export and sanctions

The Site may be accessible from jurisdictions where Gent products or services are not available or where access may be restricted. You are responsible for complying with applicable export control, sanctions, import, and local laws. You may not use the Site or Gent offerings in a way that would cause Genaptic to violate applicable law.

19. Notices

Notices to Genaptic under these Terms must be sent to legal@genaptic.com. We may provide notices to you by posting on the Site, emailing the address you provided, or using other legally permitted means.

20. Miscellaneous

These Terms are the entire agreement between you and Genaptic regarding the Site and supersede any prior or contemporaneous understandings about the Site. If any provision of these Terms is held invalid or unenforceable, the remaining provisions will remain in effect. Genaptic's failure to enforce a provision is not a waiver of that provision. You may not assign these Terms without our prior written consent. Genaptic may assign these Terms in connection with a merger, acquisition, financing, reorganization, sale of assets, or by operation of law.
